PR Legal in Branič: Professional Paper on Conflict of Interest in Bankruptcy Proceedings

Dr. Ivan Todorović, Partner at PR Legal, and Bojana Veselinović, Counsel at our firm, are the authors of a professional paper published in the legal journal Branič (issue 1/2026), issued by the Serbian Bar Association.

Their paper, titled “Conflict of Interest of Attorneys in Bankruptcy Proceedings: Who Is the Real Client?”, addresses one of the most sensitive issues in contemporary legal practice — the limits of permissible conduct in complex bankruptcy relationships.

The authors analyze situations in which an attorney, after representing a bankruptcy debtor, subsequently takes on the representation of creditors, affiliated parties, or other participants in the proceedings, and highlight the risks such role changes pose to independence, loyalty, and confidentiality.

Particular attention is given to common practical dilemmas, including:

  • transitioning from representing the debtor to representing creditors or affiliated parties
  • advising participants in relation to the assets of the bankruptcy debtor
  • the imputation of conflicts of interest at the law firm level

The paper further elaborates on the distinction between actual, potential, and perceived conflicts of interest, as well as the question of when a conflict of interest ceases to be solely an ethical issue and acquires procedural legal significance, particularly in situations involving the risk of misuse of confidential information or the undermining of equality between parties to the proceedings.

The authors conclude that, in bankruptcy proceedings, conflicts of interest may have direct consequences on the fairness of the process, making prevention and timely response of crucial importance.
